This three-dimensional governance programme is designed with
the good governance of your organisation in mind. It provides for
the fundamental elements of good governance to be explored
and complemented by practical skills and application.

Financial and Managerial Accounting
The themes covered include understanding where financial
information comes from, how it is recorded and reported,
short-run decision-making, taxation, key performance indicators
(KPIs) and financial analysis. An introduction will be provided to
corporate social responsibility (CSR), stakeholder management
and sustainability, and how these influence corporate
decision-making.
Corporate Governance in Context:
Legal and Ethical Issues
There is a need to educate directors and trustees in their legal
and ethical duties, and how to satisfy those duties. The interface
of governance with appropriate policy-making is integral to
the paper. This paper is for those who are already involved
or who intend to be involved in governing corporate bodies,
both public and private, and for those involved in governing
trusts and land trusts. It is intended to provide contextual
and fundamental knowledge of the legal and ethical duties of
those in governance positions.
Leading Strategically
Directors grow into their role and competencies by combining
experience from prior roles, analytical skills and a solid
understanding of leadership theory. Directors are often looked
upon (especially in times of crisis and change) to set the right
long-term and strategic directions, by reviewing carefully
where the organisation needs to be in the next decade. The
ability to step out of an operational “what to do” role and
to develop “why do we do this” answers, is a major stepping
stone to assuming director/trustee responsibilities. For this,
leaders require knowledge and tools.
Capstone Project
You will work on your project throughout the three modules.
At the completion of all three modules your project should
be nearing its final stages ready for presentation at the
final workshop. The project must involve any one or all of
the modules with references to the Institute of Directors:
The Four Pillars of Governance Best Practice. The project can
be envisaged as a practicum for an organisation from which
the information gained in the project can be delivered to
the organisation concerned. You will
be given the opportunity to present
your Capstone Project at the end of
the programme.

RETURN ON INVESTMENT
The G

return on investment is evident in the personal
development and enquiry required in the modules but especially
in the Capstone Project, with an immediate practical application
of the learnings involved and the solving of a real governance
issue for an organisation. The feedback from the Capstone
Project is relevant because it is commented on by both
Waikato Management School and the Institute of Directors.
This feedback is seen as being supportive and helpful for
organisations growing their governance capabilities.

– GOVERNANCE PROGRAMME
